Terms of Service

1. The Service

OnCue is a Windows desktop “invisible advisor” overlay that captures meeting audio and connected channel messages, transcribes speech, and drafts AI replies and coaching in real time, with a companion web dashboard. The Service is operated by Kupia Lab (“Kupia Lab,” “we,” “us”); you can reach us at admin@kupia.io. We may add, change or remove features over time.

2. Eligibility & accounts

You must be at least 18 years old to use the Service. You are responsible for the accuracy of your account information, for keeping access to your account secure, and for all activity that occurs under your account.

3. Acceptable use

You agree not to:

• Use the Service to capture, record or transcribe anyone without the consent required by law (see Section 4).
• Use the Service for unlawful, harassing, deceptive, or harmful purposes.
• Attempt to reverse engineer, resell, or circumvent usage limits or security controls of the Service.
• Upload content you do not have the right to use, or that infringes others' rights.
• Interfere with or disrupt the Service or its underlying infrastructure or providers.

5. Subscriptions & billing

The Service offers a Free tier (2 hours of speech-to-text and 1,500,000 AI tokens per month) and a paid Pro plan at $50/month (20 hours of speech-to-text and 7,000,000 AI tokens per month). On Pro, usage beyond the included amounts is billed as overage at $0.75 per additional hour of speech-to-text and $12 per additional 1,000,000 AI tokens, charged through Stripe, our payment processor. Paid subscriptions renew automatically each billing period until cancelled. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees, taxes and overage.

You can cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable. We may change pricing prospectively with reasonable notice.

6. Your content

You retain ownership of the audio, transcripts, messages, notes and other content you provide or generate through the Service (“Your Content”). You grant us a limited license to process Your Content solely to operate and provide the Service (including via our subprocessors, as described in our Privacy Policy). We do not sell Your Content and do not use it to train our own models.

7. Third-party services

The Service relies on third-party providers (including Deepgram, OpenRouter, Anthropic, Supabase and Stripe) and optional integrations you connect (such as Slack). Your use of those integrations may also be subject to their terms. We are not responsible for third-party services we do not control.

8. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated replies, summaries and coaching may be inaccurate or incomplete; you are responsible for reviewing and deciding whether to rely on any output. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, OnCue and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or business, arising from or related to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve (12) months before the claim or US $100.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; sections that by their nature should survive (including content license limits, disclaimers, limitation of liability and indemnities) will survive.

11. Governing law

These Terms are governed by the laws of [governing-law jurisdiction to be specified], without regard to its conflict-of-laws rules. The courts located in that jurisdiction will have exclusive jurisdiction over disputes, except where applicable law gives you the right to bring claims elsewhere.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice. Continued use of the Service after changes take effect means you accept the updated Terms.
